Acceptance and eligibility
By creating an account, clicking to agree, accessing, or using TopicFolio, you agree to these Terms of Service. If you use TopicFolio for an organization, you confirm that you have authority to bind that organization.
You must be at least MINIMUM_AGE years old to use TopicFolio, or the higher age required by applicable law where you live.
The service
TopicFolio is a web application for organizing topic-based collections, knowledge assets, and related collaboration workflows. Features may include Folios, sharing, storage, subscriptions, developer tools, API access, and Codex-assisted functionality.
We may update, modify, suspend, or discontinue parts of the service from time to time. If a change materially reduces core paid functionality, we will provide notice when reasonably practicable.
Accounts and security
You must provide accurate registration information and keep it current.
You are responsible for safeguarding your password, API keys, and other credentials associated with your account.
If TopicFolio offers security features such as multi-factor authentication, you may not disable or bypass them in a way that undermines account security or service integrity.
Acceptable use
You may use TopicFolio only in compliance with these Terms and applicable law.
- Do not violate the rights of TopicFolio, other users, or third parties.
- Do not upload or process unlawful, harmful, abusive, exploitative, or deceptive content.
- Do not attempt unauthorized access, interfere with service operations, or introduce malware.
- Do not scrape, harvest, or extract data in violation of these Terms, product documentation, or applicable law.
- Do not misuse TopicFolio to distribute spam, phishing, scams, or deceptive communications.
- Do not reverse engineer the service or underlying systems except where applicable law expressly allows it.
We may investigate suspected violations and may suspend, restrict, or terminate accounts that violate these Terms or create security, legal, or operational risk.
User content
You retain ownership of the content, files, prompts, code, notes, links, and other materials you submit to TopicFolio.
You grant TopicFolio a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit your content only as needed to provide, maintain, secure, and improve the service and to provide support.
You represent that you have the rights needed to submit your content and that doing so does not violate law or third-party rights.
Codex and AI-assisted features
TopicFolio may include Codex or other AI-assisted features that generate suggestions, summaries, classifications, code, or other output.
You are responsible for reviewing generated output before relying on it. Generated output may be incomplete, inaccurate, or unsuitable for your needs, and it should not be treated as the sole basis for decisions where errors could cause harm.
As between you and TopicFolio, you keep your inputs. To the extent TopicFolio has transferable rights in generated output, TopicFolio assigns those rights to you, excluding TopicFolio technology, models, system components, and other underlying intellectual property.
Some AI-assisted features may rely on third-party providers, and related data handling is described in the Privacy Notice and any applicable enterprise data processing terms.
Developer tools and API access
If TopicFolio provides APIs, SDKs, webhooks, or developer tools, you must follow the published developer documentation and these Terms.
- Keep API keys confidential and rotate or revoke them if compromised.
- Respect rate limits, throttling rules, and fair-use controls.
- Do not use TopicFolio APIs to recreate the service, interfere with operations, or violate law or third-party rights.
We may version, change, or deprecate APIs and developer features over time.
Subscriptions, billing, and taxes
Paid features may require a subscription. Plan features, billing cadence, and pricing are shown in the product or on an order form.
Unless stated otherwise, subscriptions renew automatically for the same billing period until canceled. By subscribing, you authorize TopicFolio and its payment processor to charge your payment method on a recurring basis.
Trials, promotional pricing, or discounts may automatically convert to paid subscriptions unless canceled before the end of the stated trial or promotional period.
Prices may exclude taxes. You are responsible for applicable taxes unless we state otherwise.
Cancellation, downgrades, and refunds
You can cancel future renewals through TopicFolio account billing controls or another online cancellation method TopicFolio provides. Cancellation stops future renewals and does not retroactively refund prior charges except where required by law or expressly stated in a separate refund policy or order form.
Unless otherwise stated, you keep access to paid features until the end of the current billing period after cancellation.
Fees are non-refundable except where required by law or where TopicFolio expressly provides a refund.
Privacy and data protection
TopicFolio explains its handling of personal data in the [Privacy Notice](/privacy). That notice is incorporated into these Terms by reference.
If you are a business customer and TopicFolio processes personal data on your behalf, any applicable data processing addendum or enterprise order form controls that processing relationship.
Intellectual property
TopicFolio and its licensors own the service, including the software, design, branding, documentation, and related intellectual property, except for your content and any rights expressly granted to you in these Terms.
Subject to these Terms and payment of applicable fees, TopicFolio grants you a limited, non-exclusive, non-transferable right to access and use the service.
Third-party services
TopicFolio may interoperate with third-party services such as payment processors, identity providers, storage providers, analytics providers, or AI providers. TopicFolio is not responsible for third-party services, and your use of them may be governed by separate terms.
Suspension and termination
You may stop using TopicFolio at any time.
TopicFolio may suspend or terminate access if you materially breach these Terms, fail to pay undisputed fees, create a security or legal risk, or if TopicFolio is required to act by law.
After termination, your right to use the service ends. Data export, retention, and deletion are handled according to the Privacy Notice, Help Center guidance, and TopicFolio retention practices.
Disclaimers
To the maximum extent permitted by law, TopicFolio is provided on an as is and as available basis.
TopicFolio disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and other implied warranties except where such disclaimers are prohibited by law.
Limitation of liability
To the maximum extent permitted by law, TopicFolio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data.
To the maximum extent permitted by law, TopicFolio's total liability for claims arising out of or relating to the service will not exceed the greater of the fees you paid to TopicFolio for the service during the 12 months before the event giving rise to the claim or LIABILITY_CAP_AMOUNT.
Nothing in these Terms limits liability where such a limitation is prohibited by law.
Indemnification
If you use TopicFolio for business purposes, you will defend, indemnify, and hold harmless TopicFolio and its affiliates from claims arising out of your content, your misuse of the service, your breach of these Terms, or your violation of law or third-party rights, to the extent permitted by law.
Governing law and disputes
These Terms are governed by GOVERNING_LAW, excluding conflict of laws principles.
The exclusive venue for disputes arising out of or relating to these Terms or TopicFolio is EXCLUSIVE_VENUE, except where mandatory law requires otherwise.
Nothing in these Terms waives rights or remedies that cannot be waived under applicable law.
Changes to these terms
TopicFolio may update these Terms from time to time. If TopicFolio makes a material change, TopicFolio will update the Last Updated date and provide additional notice when required.
